1. Quotations and Lead Times

1.1 Upon receiving an inquiry from the customer, Equipodia Ltd. (we, us) will issue a formal quotation for the product(s), including a stated lead time for delivery or dispatch.

1.2 All quotations are valid for 30 days from the date of issue unless otherwise specified.

2. Purchase Orders and Deposits

2.1 If the customer accepts the quotation and lead time, a formal purchase order (PO) must be submitted to us to initiate the order process.

2.2 Upon receipt of the PO, a deposit is required. This deposit typically ranges between 10% and 20% of the total quoted price. The specific deposit amount will be stated in the quotation.

3. Cooling-Off Period and Cancellations

3.1 In accordance with UK consumer protection law, business customers will be granted a 14-day cooling-off period from the date the purchase order is confirmed.

3.2 During this time, the customer may cancel the purchase order for any reason and will be entitled to a full refund of any deposit paid.

3.3 If the customer cancels the purchase order after the 14-day cooling-off period, the deposit will be non-refundable.

4. Delivery, Inspection and Final Payment

4.1 Upon readiness for dispatch, a second payment—determined by prior agreement between us and the customer—will be required.

4.2 After delivery, customers must inspect and/or test the product. The remaining balance of the total order price must be paid in full within 28 calendar days from the date of delivery.

4.3 Failure to make full payment within this period will result in forfeiture of ownership rights. In such cases, we retain full title to the goods and reserve the right to reclaim or dispose of them at our sole discretion.

5. Logistics, Delivery Costs and Duties

5.1 We can assist with logistics, including arranging for shipment or transportation from our warehouse, upon request.

5.2 The customer is solely responsible for the cost of delivery, including any third-party logistics or courier fees.

5.3 The customer is also responsible for the payment of customs duties, import taxes, and any other charges related to bringing the goods into their country or region.

6. Retention of Title

6.1 Ownership of the goods shall not pass to the customer until full payment has been received.

6.2 Until ownership is transferred, the customer agrees to store the goods safely and ensure they are clearly identified as our property.

7. Liability

7.1 We shall not be held liable for any indirect, incidental, or consequential loss or damage arising from the use or inability to use the product.

7.2 Our liability for any direct loss or damage shall be limited to the total price paid for the goods.

8. Governing Law and Jurisdiction

8.1 These Terms and Conditions are governed by the laws of England and Wales.

8.2 Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
